Terms & Conditions of Sale

1. About Us

These Terms & Conditions apply to all sales of goods supplied by Car Paint Warehouse Limited.

2. Customer Status
By placing an order with us you confirm that:
• You are legally capable of entering into binding contracts
• You are at least 18 years of age
• You accept these Terms & Conditions in full
Car Paint Warehouse Ltd primarily supplies products to trade customers but may also supply consumers.

3. Orders & Contract Formation
All orders placed with Car Paint Warehouse Ltd are subject to acceptance by us.
A contract is formed only when an order has been accepted and confirmed by us.
We reserve the right to refuse or cancel any order at our discretion.

4. Pricing
All prices are quoted in pounds sterling (£) and are inclusive of VAT unless otherwise stated.
The only possible additional charge above the quoted price is a carriage charge where applicable.
Due to the large number of products advertised it is possible that some products may be incorrectly priced. If a product’s correct price is higher than the stated price we reserve the right to:
• contact you for instructions before dispatch
• cancel the order and notify you
Online prices may differ from in-store prices and prices may vary between branches.

5. Stock Availability
We endeavour to keep all advertised products in stock. However products may occasionally be unavailable due to production issues, demand, or other circumstances outside our control.
If a product is unavailable we will contact you to discuss:
• supply of an alternative product
• cancellation of the order
• refund where applicable
No substitute products will be supplied without your approval.

6. Delivery
Delivery times provided are estimates and are not guaranteed.
Risk in the goods passes to the customer upon delivery.
Customers must inspect goods upon delivery and notify us of any shortages, damages or errors within 5 working days.
Failure to notify us within this period may result in the claim being refused.

7. Risk and Title (Retention of Title)
Risk in the goods passes to the customer at the time of delivery.
Ownership of all goods supplied by Car Paint Warehouse Ltd shall remain with the company until payment has been received in full for:
• the goods supplied
• any other sums due from the customer
Until ownership passes, the customer shall store the goods separately and clearly identify them as property of Car Paint Warehouse Ltd.

8. Credit Accounts
Credit facilities may be granted at the sole discretion of Car Paint Warehouse Ltd.
Granting of credit does not guarantee future credit availability.
We reserve the right to:
• set credit limits
• amend credit limits
• withdraw credit facilities at any time
Credit accounts are subject to ongoing review.

9. Payment Terms
Payment terms for credit accounts will be specified at the time of account approval.
Unless otherwise agreed, invoices become due for payment 20 days after the end of the invoice month (20 Days EOM).
Example:
Invoice date: 2 January
Payment due date: 20 February
All payments must be made in pounds sterling.

10. Late Payment
If payment is not received by the due date we reserve the right to:
• charge interest on overdue invoices at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
• charge statutory compensation and recovery costs where applicable
• suspend credit facilities
• withhold deliveries
• cancel outstanding orders

11. Suspension of Supply
Car Paint Warehouse Ltd reserves the right to suspend supply of goods where:
• an account exceeds agreed credit terms
• payment arrangements are not adhered to
• we reasonably believe payment may not be received
Supply will resume once the account is brought within agreed terms.

12. Returns & Cancellations
Returns must be authorised by Car Paint Warehouse Ltd before goods are returned.
Returned goods must be:
• unused
• in original packaging
• in resalable condition
• accompanied by proof of purchase
Paint products, electrical items and other sealed products must not be opened.
We reserve the right to refuse returns that do not meet these conditions.
Certain products may be subject to specific return policies.

13. Guarantees & Warranties
Products supplied are covered by the manufacturer’s warranty where applicable.
Customers must follow all manufacturer instructions for use.
Where a product develops a fault customers should contact us with full details so the issue can be assessed.

14. Import Duty
Customers ordering goods for delivery outside the United Kingdom may be subject to import duties or taxes.
These charges are the responsibility of the customer.

15. Written Communications
Where required by law, certain communications between us and customers may be conducted electronically.
By placing an order you agree that communications may be sent by:
• email
• electronic invoice
• website notice

16. Force Majeure
Car Paint Warehouse Ltd shall not be liable for any failure or delay in performing obligations caused by events beyond our reasonable control including but not limited to:
• industrial disputes
• acts of government
• war or terrorism
• natural disasters
• transport disruption
• failure of telecommunications networks

17. Liability
We warrant that goods supplied are of satisfactory quality and reasonably fit for their intended purpose.
Our liability shall be limited to the value of the goods supplied.
We shall not be liable for indirect losses including:
• loss of profits
• loss of business
• loss of revenue
• loss of anticipated savings
Nothing in these terms excludes liability for:
• death or personal injury caused by negligence
• fraud or fraudulent misrepresentation
• any liability which cannot be excluded by law

18. Transfer of Rights
Customers may not assign or transfer rights under a contract without written consent.
Car Paint Warehouse Ltd may assign or subcontract obligations where necessary.

19. Waiver
Failure by Car Paint Warehouse Ltd to enforce any provision of these terms shall not constitute a waiver of our rights.

20. Severability
If any provision of these terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force.

21. Governing Law
These terms and all contracts formed under them shall be governed by English Law.
Both parties agree to submit to the jurisdiction of the English courts.

22. Copyright
All website content, graphics, text, design and software remain the property of Car Paint Warehouse Ltd.
Reproduction without permission is prohibited.

23. Statutory Rights
Nothing in these terms affects your statutory rights.
